• Until complete payment of the products delivered by Exenmed and settlement of all claims from the business relationship with Exenmed, Exenmed reserves title to delivered products.
• Products for which exenmed reserves title shall be maintained by the buyer as exenmed’s escrow agent. The buyer shall be obliged to handle the goods carefully and to insure the products subject to retention of title with the due care and diligence of a prudent businessman, at least against damages deriving from fire, water and theft, and on request to provide evidence to the effect that this insurance has been taken out. The buyer already now assigns to Exenmed his claims under this insurance by way of security.
• If products that are subject to retention of title become inseparably connected or mixed with other products, Exenmed shall have joint title to the new products. Claims out of the sale of products for which Exenmed reserved title are hereby already assigned to Exenmed, such assignment being limited to the amount of the invoice value of products for which Exenmed has reserved title, in case of sale of Exenmed’s products together with other products. Exenmed hereby accepts the transfer of these claims.
• The buyer shall only be entitled to sell products that are subject to retention of title in the ordinary course of business. The buyer shall not be entitled to dispose of the products in any other way, especially by pawning or as collateral. In case of a seizure or other measures of distraint by third parties, the buyer shall be obliged to inform the enforcement agencies about Exenmed’s property and to inform Exenmed within 3 business days about the seizure.
• If there are justifiable grounds for doubts as to the solvency or creditworthiness of the buyer, Exenmed shall be entitled to prohibit the further sale or processing of delivered products, for which Exenmed reserves title, and to request its return at the expense of the buyer. The taking-back of products subject to retention of title does not constitute any cancellation or termination of the contract.
• Exenmed undertakes, at the request of the buyer, to release securities (products and accounts receivable) to which Exenmed is entitled according to the above provisions at Exenmed’s discretion, if the value of the securities exceeds the claims to be secured by more than 10%. The realizable value shall be decisive for the valuation of any security.

For all sales under these General Terms, the Products shall be deemed delivered as soon as the goods leave Exenmed’s dock (ex works). All items purchased from Exenmed are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.The risk of loss or damage shall transfer to the shipping agent or to Purchaser as soon as the goods leave Exenmed’s dock. Exenmed shall have no obligation to provide insurance. IN THE EVENT THAT EXENMED MAKES PARTIAL SHIPMENTS, FAILS TO COMPLY WITH DESIGNATED DELIVERY DATES, OR OTHERWISE FAILS TO PERFORM ITS OBLIGATIONS FOR REASONABLE SHIPMENT OR DELIVERY OF PRODUCTS IN ACCORDANCE WITH ANY TIME LIMITS SET FORTH HEREIN, EXENMED SHALL NOT INCUR ANY LIABILITY WHATSOEVER FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES (INCLUDING DAMAGES FOR LOST PROFITS OR PURCHASER’S CUSTOMER’S CLAIMS ARISING OUT OF, OR RELATING TO, CHANGES IN DELIVERY DATES, PARTIAL SHIPMENTS OR UNTIMELY PERFORMANCE) WHICH MAY BE INCURRED BY PURCHASER, EVEN IF PURCHASER WAS AWARE OF OR HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.

Unless otherwise agreed, we additionally reserve the right to deliver quantities within a tolerance of ±8% of the ordered quantity for orders of customer specific products.

• The Parties agree that Exenmed will not credit Purchaser for the return of disposable packaging. 
• Buyer shall be responsible for obtaining insurance coverage against theft, breakage, transport, fire and water damage, as well as other insurable risks.
• The risk shall pass to the buyer upon dispatch of shipment. This shall apply even in the case of partial shipments, and/or even if Exenmed has assumed additional obligations such as freight or shipping charges, or direct delivery and installation.
•  If dispatch or shipment is delayed due to circumstances for which the buyer is responsible, the risk shall pass to the buyer as of the date of notification of readiness for dispatch.
• If the delivery of Exenmed products is subject to the granting of an export or import license under any applicable law or regulation by a government and / or any governmental authority, or otherwise restricted or prohibited by export or import control laws or regulations, Exenmed use such a license . Until given or for the duration of such restriction and / or prohibition, Exemed may suspend its obligations regarding this delivery and the buyer’s rights, or even Exemed may cancel the transaction without imposing any liability to the buyer. In addition, if an end-user statement is required, the purchaser will notify Exenmed and the purchaser will provide this document to Exenmed at Exenmed’s first written request. If an import license is required, the buyer will immediately notify Exenmed and the buyer will provide the document to Exenmed as soon as it becomes available. By accepting Exenmed’s offer, entering into any transaction and / or accepting any Exenmed product, the buyer agrees that it will not violate any export or import control laws and regulations regarding Exenmed products and / or documents.

• The buyer shall be obliged to inspect the packaging and the products immediately upon delivery and to report any damage to the shipping agent.
• Obvious defects, including but not limited to damages resulting from transport damages, shall be notified to Exenmed in writing without delay, in any event within 10 days of receipt of the delivery at the latest.
• he buyer loses the right to rely on a lack of conformity of the products if the buyer does not give notice to Exenmed specifying the nature of the lack of conformity within 10 days after the buyer has discovered it or ought to have discovered it.

By your access or use of this website, you hereby agree to these Terms. These Terms of Use, together with the Privacy Policy constitute the entire agreement between you and Exenmed with respect to your access and use of this website and supersede all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. • All efforts will be made to provide the Product ordered in the time frame requested, however, any delivery date provided to You is to serve only as an estimation and is not a guarantee.
• The Parties agree that Exenmed will not credit Purchaser for the return of disposable packaging.
• Title to the Products will pass to You when full payment has been received. If You refuse delivery without Exenmed’s consent, You must pay Exenmed’s expenses or loss resulting from that refusal, including but not limited to, storage costs, return shipping fees and/or restocking fees. Risk of the loss of the Product(s) will pass to You upon receiving and signing the delivery of the Product.
• When You receive the Products, You must inspect the shipment for any defects or non-conformity. Any discrepancies should be reported to Exenmed’s customer service and support within 24 hours of receipt of shipment.And also You have to make report a problem to carrier by referencing the order number when your order is damaged. İf you don’t make report or this time  period is pass, it will be deemed that You will have accepted the Products as shipped.

• We offers customers the opportunity to return Products purchased from Exenmed website to the terms and conditions set out in this Return Policy. please read our Return Policy.
• You may return Products purchased from Exenmed within thirty (30) days from the invoice date of the respective Products.
• You may only return Products that are still in their intact original packaging. In particular, the original packaging and the Products may not be damaged, marked, or otherwise altered.
• No items that have been worn, washed, opened, ingested, or consumed may be returned.
• Customers will be responsible for the shipping cost to return any unwanted items.
• No Product tied to a promotion may be returned for credit; exchange only.
• Products purchased in a kit or set cannot be returned and/or exchanged as individual components.
• Damaged Products: If one of our products is damaged upon arrival please take several photos of the packaging and item(s) and send us an email with a description of the damage and the photos within 24 hours of receiving the package. We will send you a shipping code(return authorization number (RA#))to return the item(s) and send you a new package of the SAME items. Items cannot be changed (color, size etc.) during replacement.
• To process a return or an exchange, please contact “contact@Exenmed.com ” or our customer service in order to receive a return authorization number (RA#) and instructions on how to return the Product. Product must be sent back to Exenmed via a traceable method and with the necessary RA#. Returns or exchanges will not be accepted without the necessary RA#.
• All PPE products are Non-Refundable. All PPE sales are final.

This Return Policy sets forth the entire understanding regarding the return and exchange of Products and supersedes all prior agreements and discussions relating to the return and exchange of Products.
